General Terms of Sale

1. Purpose

These General Terms of Sale govern the contractual relationship between IMBT Consulting, a consulting and IT services company, and its clients for the provision of digital transformation consulting, IT development and digital marketing services.

Use of the website and the client space (account, appointment booking, diagnostic) is governed by the General Terms of Use.

2. Services

IMBT Consulting offers the following services:

• Digital transformation consulting and digital strategy
• Custom web and mobile application development
• Digital marketing and communication solutions
• Information systems audit and optimization
• Training and support

3. Quotes and Orders

Every service is subject to a detailed quote specifying the nature of the services, the delivery times and the price. The quote is valid for 30 days from its date of issue.

The order is considered firm and final once the client has signed the quote and paid any deposit.

4. Prices and Payment Terms

Prices are stated in Tunisian Dinars (TND) or Euros (EUR), excluding taxes. They are fixed and not subject to revision during the performance of the service, unless otherwise agreed.

Payment terms:

• 30% deposit upon signing the contract
• 40% at the midpoint of the service
• 30% balance upon final delivery

Payment is made by bank transfer within 30 days of the invoice date.

5. Delivery Times

Delivery times are given for information purposes in the quote. IMBT Consulting undertakes to use all necessary means to meet the agreed deadlines. Any delay attributable to the client results in a proportional extension of deadlines.

6. Client Obligations

The client undertakes to:

• Provide all information and documents needed to perform the service
• Appoint a single point of contact
• Approve deliverables within the agreed timeframes
• Pay invoices on the scheduled due dates

7. Intellectual Property

Developments made specifically for the client become the client's property upon full payment of the agreed price.

IMBT Consulting retains ownership of its methods, tools, frameworks and reusable components.

8. Confidentiality

The parties undertake to keep confidential all information exchanged in connection with the service. This obligation remains in force for the entire term of the contract and for 5 years after its end.

9. Warranties and Liability

IMBT Consulting guarantees that the services will be performed in accordance with good practice and professional standards.

IMBT Consulting may only be held liable in the event of proven fault, and its liability is limited to the amounts actually paid by the client.

10. Termination

In the event of a serious breach by one party of its obligations, the other party may terminate the contract automatically 15 days after sending a formal notice that has remained without effect.

In the event of termination due to the client's fault, amounts already paid remain due to IMBT Consulting.

11. Force Majeure

Neither party shall be held liable for any delay or failure to perform resulting from a case of force majeure as defined by Tunisian case law.

12. Governing Law and Disputes

These General Terms of Sale are governed by Tunisian law.

In the event of a dispute, the parties undertake to seek an amicable solution. Failing that, the dispute will be brought before the competent courts of Tunis.
